The Singapore Companies Act, Chapter 50 requires all companies in Singapore to have a Company Secretary. Except for Company Secretary of listed companies, there is no requirement on the qualification of unlisted companies' Company Secretary.
Therefore, any natural person who is a resident in Singapore can hold this appointment as long as that person has sufficient knowledge and experience to discharge the responsibilities in accordance with the Companies Act, Chapter 50. However, if the company has only one director, that director cannot be a Company Secretary of this company.
